CadQuest ERP – Global Terms and Conditions Last Updated: [25th Jan. 2026] These Global Terms and Conditions ("Terms") govern access to and use of the CadQuest ERP enterprise resource planning software platform (the "Software" or "Service") provided by CadQuest ("Company", "we", "us", or "our"). By accessing, subscribing to, or using CadQuest ERP, you agree to be legally bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. 1. Definitions "Customer" means the legal entity or individual that subscribes to or uses CadQuest ERP. "Authorised Users" means employees, contractors, or agents authorised by the Customer to use the Software. "Subscription" means the right to access and use CadQuest ERP during the applicable subscription term. "Customer Data" means all data, content, and information submitted to the Software by or on behalf of the Customer. "Documentation" means user guides, manuals, and technical documentation made available by the Company. 2. Scope of Service CadQuest ERP is a commercial, cloud-based enterprise software solution designed for business operations including (but not limited to) finance, HR, inventory, operations, and reporting. We may update, enhance, or modify the Software from time to time, provided that such changes do not materially reduce core functionality. 3. Subscription and Access 3.1 Subscription Term Access to CadQuest ERP is provided on a subscription basis for the term agreed at the time of purchase. 3.2 User Accounts Each Authorised User must have unique login credentials. The Customer is responsible for all activities conducted under its accounts. 3.3 Usage Restrictions The Customer shall not: Reverse engineer, decompile, or attempt to derive source code Resell, sublicense, or commercially exploit the Software without written consent Use the Software for unlawful or prohibited purposes Interfere with system integrity or security 4. Fees and Payment 4.1 Fees All fees are as agreed in the applicable order form or subscription plan and are exclusive of taxes. 4.2 Payment Terms Invoices are payable within the agreed timeframe. Late payments may result in suspension of access. 4.3 Taxes The Customer is responsible for all applicable local, national, or international taxes, excluding taxes on the Company’s income. 5. Customer Responsibilities The Customer is responsible for: Maintaining the confidentiality of login credentials Ensuring data accuracy and legality of Customer Data Complying with all applicable laws and regulations Providing appropriate hardware, software, and internet connectivity 6. Data Protection and Privacy 6.1 Data Ownership Customer Data remains the sole property of the Customer. 6.2 Data Processing The Company processes Customer Data solely to provide the Service and in accordance with its Privacy Policy. 6.3 Security We implement reasonable technical and organisational measures to protect Customer Data against unauthorised access, loss, or disclosure. 6.4 Compliance Where applicable, both parties agree to comply with data protection laws including GDPR and other global privacy regulations. 7. Intellectual Property Rights All intellectual property rights in CadQuest ERP, including software, branding, trademarks, and Documentation, remain the exclusive property of the Company. No rights are granted except as expressly stated in these Terms. 8. Confidentiality Each party agrees to keep confidential any non-public, proprietary, or confidential information disclosed during the course of the relationship. This obligation survives termination of these Terms. 9. Availability and Support We aim to provide high availability but do not guarantee uninterrupted or error-free operation. Support services, service levels, and maintenance windows may be defined in a separate Support or SLA document. 10. Third-Party Services CadQuest ERP may integrate with third-party services. We are not responsible for third-party products, services, or data practices. Use of third-party services is subject to their respective terms. 11. Termination 11.1 Termination for Convenience Either party may terminate the Subscription in accordance with the agreed notice period. 11.2 Termination for Cause We may suspend or terminate access immediately if the Customer materially breaches these Terms or fails to pay fees. 11.3 Effect of Termination Upon termination, access to the Software will cease. Customer Data may be made available for export for a limited period, after which it may be deleted. 12. Warranties and Disclaimers The Software is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including fitness for a particular purpose and non-infringement. 13. Limitation of Liability To the fullest extent permitted by law: The Company shall not be liable for indirect, incidental, consequential, or special damages Total liability shall not exceed the fees paid by the Customer in the 12 months preceding the claim 14. Indemnity The Customer agrees to indemnify and hold harmless the Company from claims arising out of misuse of the Software, violation of laws, or breach of these Terms. 15. Force Majeure Neither party shall be liable for failure to perform due to events beyond reasonable control, including natural disasters, war, strikes, or internet outages. 16. Governing Law and Jurisdiction These Terms shall be governed by and construed in accordance with the laws of [Insert Governing Country/State], without regard to conflict of law principles. The courts of that jurisdiction shall have exclusive jurisdiction. 17. Changes to Terms We may update these Terms from time to time. Continued use of the Software after changes become effective constitutes acceptance of the updated Terms. 18. Entire Agreement These Terms, together with any order forms, policies, or referenced documents, constitute the entire agreement between the parties and supersede all prior agreements. 19.
